Terms of Service

These Terms of Service ("Terms") govern your access to and use of controlp.io, customer accounts and dashboards, online shopping and customization tools, communications, and the print, design, signage, vehicle-wrap, custom-merchandise, installation, web-development, and related products and services offered by ControlP.io ("ControlP," "we," "us," or "our") (collectively, the "Services").

By accessing the website, creating an account, requesting a quote, approving a proof, placing an order, submitting materials, enrolling in text messages, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

A written quote, proposal, statement of work, order confirmation, invoice, service agreement, or other project-specific document may include additional terms. If a project-specific document conflicts with these Terms, the project-specific document controls for that project to the extent of the conflict.

1. Eligibility and Authority

You must be at least 18 years old and legally able to enter into a binding agreement to use the Services. If you use the Services for a company or other organization, you represent that you have authority to bind that organization, and "you" includes both you and the organization.

2. Services

ControlP.io may provide products and services that include digital and large-format printing, business cards, signs, banners, flags, displays, labels, stickers, apparel, hats, promotional products, custom merchandise, vehicle graphics and wraps, graphic design, branding, web development, video production, fabrication, installation, shipping, fulfillment, and related consulting or support.

Product descriptions, images, samples, turnaround times, availability, and specifications are estimates unless expressly stated otherwise in writing. We may modify, discontinue, limit, or refuse a product or Service when reasonably necessary, subject to any accepted order or signed agreement.

3. Accounts and Account Security

You may need an account to use certain features. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity conducted through your account, except activity caused solely by our breach of these Terms or applicable law.
• Promptly notifying us of suspected unauthorized access or use.
• Ensuring that authorized users comply with these Terms.

We may suspend or restrict an account when we reasonably believe it is compromised, fraudulent, unlawful, abusive, or being used in violation of these Terms.

4. Quotes, Orders, and Acceptance

A website cart, automated estimate, preliminary quote, financing calculator, or oral discussion is not a binding acceptance of an order unless we confirm it in writing or begin performance. We may verify pricing, specifications, inventory, shipping, installation conditions, artwork, deadlines, and payment before accepting an order.

You are responsible for reviewing the order confirmation and notifying us promptly of errors. Production schedules generally begin only after we receive all required materials, payment or deposit, and final proof approval.

We may decline or cancel an order before production for reasons including pricing or specification errors, suspected fraud, prohibited content, safety concerns, unavailable materials, inability to meet requirements, or nonpayment. If we cancel an accepted order for reasons not caused by you, we will provide an appropriate refund for amounts paid for the unperformed portion.

5. Customer Materials, Content, and Instructions

You may submit text, artwork, photographs, logos, trademarks, designs, measurements, data, website content, files, instructions, and other materials ("Customer Materials"). You represent and warrant that:

• You own the Customer Materials or have all permissions, licenses, and releases necessary for us to use them as requested.
• The Customer Materials and requested use do not infringe intellectual-property, privacy, publicity, contractual, or other rights.
• The Customer Materials are accurate and do not contain malicious code.
• The requested work is lawful and does not include deceptive, defamatory, hateful, obscene, dangerous, fraudulent, or otherwise prohibited content.

You grant ControlP.io and our production and fulfillment partners a limited, nonexclusive license to reproduce, modify, format, transmit, display, and otherwise use Customer Materials solely as needed to provide the Services, maintain records, resolve disputes, and comply with law.

We may reject or stop work involving materials or instructions that we reasonably believe violate law, third-party rights, carrier or platform policies, safety standards, or these Terms.

6. Proofs, Approvals, Color, and Production Tolerances

When a proof is provided, you are responsible for reviewing all details, including spelling, grammar, layout, dimensions, quantities, colors, images, contact information, dates, links, folds, cut lines, bleed, finishing, material, installation placement, and other specifications.

Your approval authorizes production. ControlP.io is not responsible for errors that were present in an approved proof or in Customer Materials that you instructed us to use without modification.

Screen displays, office printers, lighting, substrates, inks, coatings, manufacturing processes, material batches, and finishing methods can produce reasonable variations in color, texture, size, placement, and appearance. Exact color matching is not guaranteed unless a specific written color-matching process and tolerance are included in the order.

Industry-standard production tolerances may apply to cutting, folding, finishing, quantities, material dimensions, seams, color, and installation. Samples and mockups are illustrative and may not reproduce every physical characteristic of the finished product.

7. Pricing, Payments, Taxes, and Deposits

Prices are shown in U.S. dollars unless stated otherwise. You agree to pay all charges, shipping, installation fees, taxes, permit costs, duties, and other amounts identified during checkout or in an accepted quote, order, or agreement.

Custom work may require a deposit or full payment before design, purchasing, scheduling, or production begins. Unless a written agreement states otherwise:

• Deposits become nonrefundable to the extent we have performed work, reserved production capacity, purchased materials, paid third parties, or incurred other nonrecoverable costs.
• Final payment is due before pickup, shipping, installation, launch, transfer of deliverables, or release of production files.
• We may pause work, withhold delivery, or suspend access for overdue amounts.
• You are responsible for reasonable collection costs to the extent permitted by law.

You must raise a good-faith billing dispute promptly and cooperate in resolving it before initiating a chargeback. Fraudulent or abusive chargebacks may result in suspension, collection activity, or legal action.

8. Changes and Cancellations

Requested changes may affect price, materials, design time, production time, installation, shipping, and delivery. A change is not binding until accepted by ControlP.io, and we may require a written change order and additional payment.

Because many products are customized, cancellation rights are limited after work begins. If you cancel, you remain responsible for completed work, approved design time, purchased materials, third-party charges, reserved production time, and other nonrecoverable costs. Custom-produced goods generally cannot be canceled after production begins.

9. Turnaround Times, Shipping, Delivery, and Pickup

Quoted completion, pickup, installation, shipping, and delivery dates are estimates unless expressly guaranteed in writing. Delays may result from proof revisions, customer response times, payment, material availability, equipment issues, carrier delays, weather, permitting, site conditions, supply-chain events, labor disruptions, or events beyond our reasonable control.

You are responsible for providing complete and accurate shipping and delivery information. Additional charges caused by an incorrect address, failed delivery, refused shipment, storage, redelivery, or change requested after shipment may be charged to you.

Risk of loss for shipped products passes as provided by applicable law and the selected shipping terms. You must inspect shipments promptly and preserve packaging and evidence needed for a carrier claim. Report visible shipping damage, missing packages, or quantity issues as soon as reasonably possible.

Orders designated for pickup must be collected within the stated pickup window. Reasonable storage or disposal charges may apply to items left beyond that period after notice.

10. Returns, Defects, Reprints, and Refunds

Customized, personalized, made-to-order, installed, or specially sourced products are generally final sale and are not returnable merely because preferences change or an approved proof contained an error.

Contact us promptly if you believe a product is defective, damaged, materially different from the approved specifications, or produced incorrectly. Unless a different period is stated in an order, visible production issues should be reported within five (5) business days after receipt, pickup, or installation. We may request photographs, samples, packaging, or return of the affected items.

If we confirm that ControlP.io caused a material defect or production error, our obligation will be, at our reasonable discretion, to repair, reinstall, reprint, replace, issue store credit, or refund the affected portion of the order. Minor variations within accepted specifications or industry tolerances are not defects.

Shipping claims may be subject to carrier procedures and deadlines. Products altered, installed, used, discarded, or damaged after delivery may not qualify for a remedy unless the issue could not reasonably have been discovered earlier.

11. Installation, Measurements, Permits, and Site Conditions

Unless expressly included in writing, you are responsible for permits, landlord or property-owner approvals, engineering, utility location, code compliance, access permissions, and confirming that the installation site is suitable.

Measurements supplied by you are your responsibility. Additional charges may apply when inaccurate measurements, concealed conditions, unsafe conditions, access limitations, structural issues, electrical requirements, surface failure, weather, or other site conditions require extra work, materials, equipment, or rescheduling.

You must provide safe and timely site access and disclose known hazards. We may postpone or stop work when conditions are unsafe or would likely damage property, materials, or equipment.

12. Design, Web Development, and Other Professional Services

Design concepts, revision limits, deliverables, source files, licenses, schedules, hosting, maintenance, support, and ownership may be governed by a proposal or statement of work.

Unless agreed otherwise in writing:

• Preliminary concepts, working files, production methods, templates, tools, code libraries, and unused designs remain ControlP.io property.
• Rights to specifically commissioned final deliverables transfer or are licensed only after full payment.
• Third-party fonts, stock assets, software, themes, plugins, APIs, hosting, domains, and platforms remain subject to their own licenses and terms.
• Content entry, ongoing edits, maintenance, hosting, security monitoring, software updates, accessibility remediation, search-engine rankings, and legal compliance are not included unless expressly listed.
• New requests or revisions outside the agreed scope may require additional fees and schedule changes.

13. ControlP.io Intellectual Property

The website, brand, logos, text, graphics, interfaces, software, templates, product photography, videos, designs, documentation, and other ControlP.io materials are owned by or licensed to ControlP.io and are protected by intellectual-property laws.

Subject to these Terms, ControlP.io grants you a limited, revocable, nonexclusive, nontransferable license to access and use the website for lawful personal or internal business purposes. You may not copy, scrape, resell, reverse engineer, interfere with, or create derivative works from our website or materials except as permitted by law or written authorization.

14. Acceptable Use

You may not use the Services to:

• Violate law, regulation, court order, or third-party rights.
• Submit fraudulent orders or payment information.
• Upload malware or interfere with website, account, or network security.
• Harvest personal information, send spam, or engage in unauthorized advertising.
• Circumvent access controls, usage limits, carrier filtering, or security features.
• Impersonate another person or misrepresent an affiliation.
• Use our messaging systems to send unlawful, deceptive, abusive, unsolicited, or unwanted messages.

15. Third-Party Services and Links

The Services may integrate with or link to payment providers, carriers, social networks, mapping tools, design platforms, financing tools, authentication services, plugins, hosting providers, and other third-party services. We do not control those services, and your use of them may be governed by separate terms and privacy policies.

16. Electronic Communications

You agree that we may provide order confirmations, invoices, disclosures, notices, approvals, and other communications electronically, including by email, account notification, or text message when you have provided the required consent. Electronic records and signatures have the same effect as paper records and handwritten signatures to the extent permitted by law.

17. SMS and MMS Terms

This Section governs the ControlP.io SMS Program and supplements the rest of these Terms and our Privacy Policy.

17.1 Program Description

ControlP.io may send SMS or MMS messages relating to:

• Quotes, orders, proofs, payments, projects, production, appointments, installations, pickups, shipping, deliveries, account activity, and customer support.
• Promotional offers, newsletters, design tips, product announcements, and marketing communications when you separately opt in to receive them.

Every recurring messaging program is intended only for recipients who have provided the appropriate consent. ControlP.io identifies itself as the sender in its messages except when the identity is already clear in an ongoing conversation.

17.2 Consent

By affirmatively opting in, you authorize ControlP.io to send the categories of SMS or MMS messages described in the applicable disclosure to the mobile number you provide, including messages sent using automated technology. Your consent applies only to ControlP.io and the subject matter disclosed at opt-in.

Consent to receive promotional SMS or MMS messages is not a condition of purchase. You may still buy products or use Services without agreeing to promotional texts.

You represent that you are the subscriber or customary user of the mobile number provided and that you are authorized to consent to messages at that number. Notify us if the number changes or is reassigned.

An inbound text message allows us to respond to that conversation but does not, by itself, authorize unrelated recurring promotional texts.

17.3 Message Frequency

• Promotional messages may be sent up to four (4) times per month.
• Transactional and customer-care message frequency varies based on your quote, order, project, appointments, account activity, and requests.

17.4 Message and Data Rates

Message and data rates may apply. Charges are determined by your wireless plan and carrier. ControlP.io does not charge a separate fee to receive the SMS Program, but your purchase, order, or Service charges remain applicable.

17.5 Opt Out

Reply STOP to any ControlP.io message to unsubscribe from the associated SMS Program. We also honor standard requests such as END, CANCEL, UNSUBSCRIBE, or QUIT when received and reasonably identifiable.

Opt-out is a one-step process. You may receive one final confirmation message. No additional messages will be sent through that program unless you provide new consent. An SMS opt-out does not cancel an order, appointment, contract, account, or non-SMS communication that is otherwise permitted or required.

17.7 Delivery and Carrier Disclaimer

Wireless carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your carrier, network availability, device compatibility, and other factors outside our control. SMS and MMS services may not be available on every carrier, device, or location.

17.8 SMS Privacy

Mobile telephone numbers, SMS/MMS opt-in data, and messaging consent are handled as described in our Privacy Policy. They are not sold, rented, or shared with third parties or affiliates for their own marketing or promotional purposes.

18. Disclaimer of Warranties

To the fullest extent permitted by law, the website and Services are provided on an "as is" and "as available" basis, except for any express written warranty included with a specific product or Service. We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement to the extent permitted by law.

We do not warrant that the website will always be uninterrupted, error-free, or secure, or that every product will be suitable for every environment or use. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

19. Limitation of Liability

To the fullest extent permitted by law, ControlP.io and its owners, employees, contractors, suppliers, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost profits or revenue; lost data; loss of goodwill; business interruption; or replacement costs arising from or related to the Services, even if advised of the possibility.

To the fullest extent permitted by law, our aggregate liability arising from a particular product, order, project, or Service will not exceed the amount you paid ControlP.io for the product, order, project, or Service giving rise to the claim during the twelve months before the event giving rise to liability.

These limitations do not apply where prohibited by law or to liability that cannot legally be limited.

20. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless ControlP.io and its owners, employees, contractors, and service providers from claims, damages, losses, liabilities, and reasonable expenses arising from:

• Customer Materials or instructions you provide.
• Your violation of these Terms or applicable law.
• Your infringement or misuse of another party's rights.
• Your unlawful, unsafe, deceptive, or unauthorized use of the Services or finished products.

This obligation does not apply to the extent a claim results from ControlP.io's own unlawful conduct, gross negligence, or willful misconduct.

21. Suspension and Termination

You may stop using the website at any time. We may suspend or terminate access, decline future work, or cancel an unperformed portion of the Services when you violate these Terms, fail to pay, create a security or safety risk, misuse the Services, or engage in unlawful or abusive conduct.

Termination does not eliminate payment obligations, approved production costs, intellectual-property rights, limitations of liability, indemnification duties, dispute provisions, or other terms that by their nature should survive.

22. Governing Law and Venue

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. Unless applicable law requires otherwise, any court proceeding arising from these Terms or the Services must be brought in a state or federal court located in Maricopa County, Arizona, and each party consents to that court's jurisdiction and venue.

Before filing a claim, the parties agree to make a good-faith effort to resolve the dispute by contacting the other party and providing a reasonable description of the issue and requested resolution.

23. Changes to These Terms

We may update these Terms from time to time. Changes become effective when posted with a revised "Last Updated" date, unless a later date is stated. Material changes will apply prospectively unless otherwise permitted by law. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

Changes to SMS terms will not expand the categories of recurring promotional messages you consented to receive without any additional consent required by law or messaging policy.

24. General Terms

If any provision is held unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a merger, sale, reorganization, or transfer of the business or Services.

These Terms, the Privacy Policy, and any applicable quote, order, statement of work, or service agreement constitute the entire agreement concerning their subject matter and supersede prior discussions or communications about that subject matter.
